In countries with long-established market economies, 60-80% of the entities of the national economy are entities with their own legal personality (i.e. limited liability companies, joint stock companies, foundations, cooperatives, associations, etc.), and only 20-40% those conducted as sole proprietorships.
In Poland, these proportions are reversed, but they are moving very quickly in the direction we can see in countries that have developed continuously for longer than the last 30-35 years.
The limited liability company is becoming an increasingly popular form of business. This is due to its numerous advantages and wide legal possibilities.
With about 5 million business entities in Poland, more than 70% of them (i.e. almost 3,6 million) are sole proprietorships (JDG). Until recently, it was 90%.
For many years, the number of limited liability companies in Poland was 400-460 thousand. However, regulations related to the New Deal, the health contribution, the solidarity levy, as well as the advent of the Polish Holding Company and the lower CIT for small taxpayers have meant that there are now more than 700 thousand active limited liability companies in Poland.
The first company with its own legal personality, the Moscow Company, was established as early as the 16th century in London. Since then, over the next 5 centuries, this social innovation has proven its usefulness and permanently forged its way into the legal doctrines of many countries.
The limited liability company itself (Spółka z o.o.) is the simplest creation of all having its own legal personality. It is also the most popular and the largest number of subcontractors are available for it, i.e. accounting offices or law firms. Consequently, the cost of its service is also the lowest.
Currently in Poland, a limited liability company can be established by the traditional method at a notary's office and online using the S24 system provided by the Ministry of Justice. The first, traditional way is recommended if you want to create a highly personalized partnership agreement for the very unique needs of the shareholders. The second, online way, on the other hand, is much faster and involves selecting a number of personalizations from a closed catalog of solutions provided by the electronic court registry. As a result, it allows you to set up a company cheaply within a few days.
